1. ACCEPTANCE OF TERMS

Welcome to Tennessee Wedding Venues (the “Service”). By accessing or using the Service, you agree to be bound by these Terms of Use (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Tennessee Wedding Venues (“we,” “us,” or “our”) regarding your use of the Service. Please read them carefully.

2. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on the Service and updating the “Last Updated” date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

3. ELIGIBILITY

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the terms and conditions set forth herein.

4. ACCOUNT REGISTRATION

4.1 Registration

To access certain features of the Service, particularly to claim a business listing, you will need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Responsibility

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms, or is harmful to other users, us, or third parties, or for any other reason.

5. BUSINESS LISTINGS

5.1 Claiming Listings

The Service allows business owners to claim listings for their businesses. By claiming a listing, you represent and warrant that you:

  • Are the owner of the business or are authorized to act on behalf of the owner
  • Have the right to provide all information submitted for the listing
  • Will keep your listing information accurate and up-to-date

5.2 Listing Content

You are solely responsible for all content you submit in connection with your business listing, including but not limited to business information, descriptions, images, and contact details (“Listing Content”).

5.3 Prohibited Listing Content

You agree not to submit Listing Content that:

  • Is false, misleading, or deceptive
  • Infringes on any third party’s intellectual property rights
  • Contains offensive, inappropriate, or illegal material
  • Promotes illegal activities or services
  • Contains malware, viruses, or other harmful code

5.4 Verification

We reserve the right to verify ownership of any business listing through documentation or other means before approving a claim. We may remove or modify any listing at our sole discretion.

5.5 No Endorsement

The inclusion of any business in our directory does not constitute an endorsement or recommendation by us.

6. USER CONDUCT

You agree not to:

  • Use the Service for any illegal purpose
  • Impersonate any person or entity
  • Harass, abuse, or harm another person or business
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to the Service
  • Use automated means to access or collect data from the Service
  • Use the Service to transmit any malware or other harmful code
  • Post false, inaccurate, or misleading information
  • Manipulate identifiers to disguise your identity or the origin of content
  • Remove any proprietary notices from the Service

7. USER CONTENT

7.1 Content License

By submitting, posting, or displaying content on or through the Service (“User Content”), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such User Content in connection with the operation and promotion of the Service. This license does not transfer ownership of Business Media (as defined in Section 8.2) such as your business logos, images, and photographs, which remain your exclusive property.

7.2 Content Responsibility

You are solely responsible for your User Content and the consequences of posting it. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein.

7.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine is harmful, offensive, or otherwise objectionable.

8. INTELLECTUAL PROPERTY

8.1 Our Intellectual Property

The Service and its original content, features, and functionality, including all Tennessee Wedding Venues logos, designs, text, graphics, and images, are and will remain the exclusive property of Tennessee Wedding Venues and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

8.2 Business Listing Images and Logos

All images, logos, photographs, and other media content uploaded by business owners as part of their business listings (“Business Media”) remain the exclusive property of the respective business owners or their licensors. By submitting Business Media to the Service, you retain all ownership rights to your content. We do not claim ownership of any Business Media you provide for your listing.

8.3 Limited License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal or internal business purposes.

9. THIRD-PARTY LINKS AND CONTENT

9.1 Third-Party Links

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

9.2 Third-Party Content

We are not responsible for the accuracy, reliability, or legality of any business information or third-party content accessible through the Service.

10. DISCLAIMERS

10.1 Service Disclaimer

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Business Listings Disclaimer

WE DO NOT WARRANT THAT THE LISTINGS OR OTHER INFORMATION PROVIDED THROUGH THE SERVICE ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICE OR ANY BUSINESS LISTED ON THE SERVICE.

11. LIMITATION OF LIABILITY

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID TO USE THE SERVICE IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY; OR (B) $100.

12. INDEMNIFICATION

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of Tennessee, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by courts located in Tennessee, except that we may seek injunctive or other equitable relief in any court of competent jurisdiction.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

14.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
